Interim notice. These Terms describe the rules for using our services. They were prepared without a licensed attorney and are not legal advice. We may update them when counsel reviews our sites.

1. Agreement

By accessing or using the websites and apps that link to these Terms (the “Services”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. The Services

We provide layered-web and related tools and information, which may include Desirable Properties (including Studio), Canopi, Meta-Layer / Bridgit pages, and other surfaces we operate. Features may be experimental, invite-only, or changed or discontinued at any time. We do not guarantee uninterrupted or error-free operation.

3. Eligibility

You must be at least 13 years old (or older if your country requires a higher age to use online services) and able to enter a binding contract. If you use the Services for an organization, you confirm you have authority to bind it.

4. Accounts

Keep your login credentials confidential. You are responsible for activity under your account. Provide accurate information. We may suspend or terminate accounts that violate these Terms or create risk for others or for the Services.

5. Acceptable use

You agree not to:

  • Violate law or others’ rights
  • Upload malware, interfere with the Services, or bypass security or access controls
  • Harass others or post content that is unlawful or that we reasonably consider abusive
  • Systematically scrape non-public user content to build a competing dataset
  • Misrepresent your affiliation with Bridgit, Meta-Layer Initiative, Canopi, Desirable Properties, or related projects

We may remove content or restrict access to enforce this section.

6. Our intellectual property

The Services, our brands, and content we create are owned by us or our licensors. Some Canopi documentation and marketing may carry separate copyright lines (for example Bridgit-SPC or Canopi); that does not transfer ownership to you. You may use the Services as offered. You may not remove proprietary notices or use our marks without permission.

7. Your content and contributions

Your Content means text, patches, inserts, media, comments, feedback, and other material you submit to the Services.

You keep ownership of Your Content to the extent you have rights in it. By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt, publish, distribute, publicly display, and create derivative works from Your Content as needed to operate the Services and to include it in:

  • workgroup or governance drafts,
  • Desirable Properties and related publications,
  • Ordinal, monument, or other publication paths described on the relevant site.

Public challenge and Studio contributions. Unless a submit flow states a different license, you also license public Desirable Properties contributions under Creative Commons Attribution 4.0 International (CC BY 4.0), so others can share and adapt them with attribution.

You confirm you have the rights to grant these licenses and that Your Content does not infringe others’ rights. We may decline, delay, or format submissions. Publication on a blockchain or other durable medium may limit later removal; we will still remove or restrict copies we control when required by law or these Terms.

Feedback. Ideas and suggestions you send may be used without obligation to you.

8. Privacy

Our Privacy Policy explains how we handle personal information. Hard rule: we do not sell personal information and we do not use it for advertising targeting.

9. Third-party services

Sign-in providers, hosts, browsers, and third-party websites are outside our control. Their terms and privacy policies apply. Overlay features may interact with third-party pages; we do not endorse that third-party content.

10. Copyright complaints

If you believe material on the Services infringes your copyright, email a notice to info@bridgit.io with:

  • Your contact information and signature (physical or electronic)
  • Identification of the copyrighted work
  • Identification of the material and where it appears
  • A statement that you have a good-faith belief the use is not authorized
  • A statement under penalty of perjury that your notice is accurate and that you are authorized to act for the owner

We may remove or disable access to alleged infringing material and may terminate repeat infringers where appropriate.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that overlays, patches, publications, or third-party pages are accurate, complete, or suitable for legal, medical, financial, or other professional decisions.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). Some places do not allow certain limits; there, the limits apply to the maximum extent allowed.

13. Indemnity

To the extent permitted by law, you will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys’ fees) arising from Your Content or from your misuse of the Services or violation of these Terms.

14. Suspension and termination

You may stop using the Services at any time. We may suspend or end access if you violate these Terms or if we discontinue a Service. Provisions that should survive (including intellectual property, contribution licenses, disclaimers, limits of liability, and indemnity) survive termination.

15. Changes

We may update these Terms by posting a new version and revising the “Last updated” date. Continued use after the effective date means you accept the updated Terms, except where law requires a different process.

16. Governing law

These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law rules. Courts in Wyoming will have jurisdiction over disputes, unless applicable law requires otherwise.

17. Miscellaneous

These Terms are the entire agreement between you and us regarding the Services. If one provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of assets.
